In-House Legal Counsel

The core functions of the successful candidate will be to draft, review and advise on commercial legal agreements, as well as to manage contracts and related issues and to ensure policies and procedures are up to date and are being enforced. In addition, the incumbent will advise on and give input on all tax matters, and assist with terms and conditions for products and services where required.
- Minimum B.Com LLB Degree with a post graduate LLM in corporate law / LLM in Taxation / H.Dip Tax.
- Admitted attorney or advocate of the High Court of South Africa and/or Conveyancer.
- Articles from a large reputable law firm.
- 2- 5 years post articles experience specializing in commercial law.
- Experience in commercial contract law and tax.
- Understanding corporate governance and knowledge of global best practice / trends within the regulatory, compliance and governance framework.
- Must at all times be fully conversant with applicable legislation, regulations, notices directives and rules, pertaining to the financial services industry including:
- Financial Sector Regulation Act
- Collective Investment Schemes Control Act.
- Financial Advisory and Intermediary Services Act.
- Companies Act
- Financial Intelligence Centre Act
- Pension Funds Act
- Long Term Insurance Act
- Financial Markets Act
- Protection of Personal Information Act
- Electronic Communications and Transactions Act
- ASISA Standards and Codes.
- King Code of Corporate Governance

- Principles of Responsible Investment
- Ensure that all the regulatory and other internal or external reporting requirements applicable to the relevant companies have been adhered to.
- Ability to engage with external counsel and service providers and have a sound knowledge in a variety of matters, such as commercial legal matters, litigation, compliance, regulatory and risk management
- Draft and review legal agreements to ensure that the regulatory requirements are met, and risks are mitigated.
- Litigation processes, settlement proposals and the drafting of pleadings in respect of litigation.
- Ensure detailed policies, procedures, procedures manuals, systems and controls are robust and implemented within the department.
- Documenting policies and processes to ensure compliance to the constitutional documents (Trust Deeds, Memorandum of Incorporation and the like) and legislation such as the JSE rules, FSCA/CISCA rules and all legislation in the financial service sector.
- Remain abreast of all changes in the legal, tax commercial and corporate governance environment in South Africa and internationally and demonstrate the ability to interpret and analyse any such changes and implement same within Oasis to ensure that Oasis remains compliant.
- Provide technical input on proposed changes to legislation and the changes required to ensure compliance with same.
- Attending to various company secretarial matters including change of name, change of directors, preparing Board Reports, preparing and collating Board Packs, preparing resolutions for tabling and approval by the Board and its sub-committees; documenting action points arising out of various board meetings and ensuring that these are actioned and closed out
- Advise on all tax matters relating to the business
- Assist with and maintain a register of all taxes to be paid per company in the group and ensure compliance of same
- Prepare tax opinions on various tax issues for discussion with Senior Executives
- Understanding of the Double Taxation Treaties and how it affects the various subsidiaries in the Group
- Areas of responsibility include:
- Vat
- PAYE
- Income Tax
- Dividend Withholding Tax
- Capital Gains Tax
- Property Development (SEZ)
- The organisation is not involved in tax structuring. The candidate is expected to ensure compliance with the pertaining tax rules and the objective of the role is to ensure that both the functional and administrative obligations of the organisation have been complied with.
- Review and approve all tax calculations as being correct and ensure that an audit trail is maintained at all times.
- Draft management reports: propose policy changes / changes in computation methods based on changes in underlying rules.
- Provide tax assistance through the organisation including providing input to:
- Financial advisory team to enable them to improve the relevance of their financial advice.
- Marketing team to improve the relevance of client communication.
- Evaluate and interpret international tax treaties and double tax agreements.
- Ensure that there is strict compliance in the implementation of policies with the ability to hold staff accountable.
- The position does not involve the direct supervision of staff however the candidate if expected to engage with various teams to ensure tax compliance is achieved.
- Prepare detailed regulatory submissions to motivate for certain tax policies which would be beneficial to the interests of clients and / or the organization.
- Evaluate and make recommendations to avoid transfer pricing.
